Vendor Terms of Service
These Vendor Terms of Service ("Vendor Terms") govern your participation as a seller ("Vendor") on the YANGGAH marketplace platform ("Platform"), operated by YANGGAH ("we," "us," or "our"). By creating a vendor account, submitting a vendor application, or listing any products on YANGGAH, you agree to be bound by these Vendor Terms in addition to our general Terms of Service.
1. Vendor Eligibility
To become a vendor on YANGGAH you must:
- Be at least 18 years of age.
- Operate a legitimate business selling authentic African fashion, traditional wear, accessories, footwear, or related goods.
- Provide accurate and complete information during the application process.
- Obtain and maintain all licences, permits, and registrations required to conduct business in your jurisdiction.
- Complete the YANGGAH vendor verification process and receive written approval before listing products.
YANGGAH reserves the right to approve or reject any vendor application at its sole discretion and to revoke vendor status at any time for breach of these Vendor Terms.
2. Account Responsibilities
You are solely responsible for:
- Maintaining the security and confidentiality of your account credentials.
- All activity conducted under your account, whether by you or a third party.
- Keeping your business information, contact details, and bank/payout details accurate and up to date.
- Notifying YANGGAH immediately of any unauthorised access to your account.
3. Product Listings
You agree that all products listed on YANGGAH:
- Are authentic, accurately described, and match the photographs provided.
- Are legally owned by you and are free from any third-party claims or encumbrances.
- Do not infringe any intellectual property, trademark, copyright, or other rights of any third party.
- Comply with all applicable laws and regulations, including Nigerian consumer protection laws.
- Are appropriately categorised with correct pricing, sizing, and availability information.
YANGGAH may remove any listing at any time without notice if it is found to violate these terms or applicable law. You are responsible for keeping inventory quantities accurate to prevent overselling.
4. Prohibited Items
The following items may not be listed or sold on YANGGAH:
- Counterfeit, replica, or unauthorised goods.
- Items that infringe intellectual property rights.
- Hazardous, illegal, or regulated goods.
- Any product that YANGGAH deems inappropriate for the platform at its sole discretion.
5. Orders and Fulfilment
Upon receiving an order you agree to:
- Confirm or acknowledge the order promptly.
- Pack and ship the order using appropriate packaging to prevent damage in transit.
- Update the order status and provide a valid tracking number and, where available, a direct tracking URL on the platform when the item is dispatched. Providing a tracking URL allows buyers to follow their parcel with a single click and reduces support enquiries.
- Fulfil orders within the processing time stated on your listing or as otherwise agreed with the buyer.
- Communicate proactively with buyers regarding any delay or issue affecting their order.
Failure to fulfil orders in a timely manner or consistent poor performance may result in suspension or removal of your vendor account.
5a. Shipping Costs and Responsibility
YANGGAH allows vendors to set their own shipping costs per destination zone when listing a product. These rates are displayed to buyers at checkout based on their selected delivery country. By setting a shipping price for a zone, you represent that the rate is a reasonable reflection of your actual carrier cost for that destination.
- You are solely responsible for ensuring your stated shipping rates cover the actual cost of delivery via your chosen carrier.
- If the actual carrier cost exceeds the rate you set, you are responsible for absorbing that difference. YANGGAH will not charge the buyer additional shipping fees after checkout.
- Where you have not configured a shipping zone, YANGGAH may display a platform-estimated rate labeled “Estimated shipping”. This is a reference figure only. The same cost-responsibility rule applies — you must ship the order regardless of any difference between the estimate and the actual carrier cost.
- Refusing to fulfil an order on the basis that the shipping rate was insufficient is not an acceptable reason for cancellation and may result in a dispute, a negative outcome against you, and potential suspension of your vendor account.
- You may offer free shipping for any zone. Buyers will see “Free” displayed at checkout.
YANGGAH operates with vendors worldwide. It is your responsibility to set realistic rates that accurately reflect your location, your carrier, and the destination country.
5b. Designer Routing
YANGGAH offers a Designer Routing feature. Buyers may elect to have your parcel delivered directly to another verified YANGGAH vendor's studio (typically a designer or tailor) rather than to their personal address.
- When a buyer routes a parcel to a designer, you will see a “Routed to designer studio” notice on the order in your dashboard. Ship to the address displayed — do not contact the buyer for an alternative address.
- You will receive an email at the time the order is placed confirming the routing destination.
- If you are a designer vendor, you may receive parcels routed to your studio by buyers on the platform. You will be notified by email with the fabric vendor's name and the order reference number.
- Standard fulfilment obligations, escrow protections, and dispute processes apply in full to routed orders.
- Routing a parcel to a designer does not transfer liability for the order. You remain responsible for correct packing, dispatch, and provision of a tracking number.
6. Payments and Escrow
YANGGAH operates an escrow-based payment system to protect both buyers and vendors:
- When a buyer places an order, payment is collected and held in escrow by YANGGAH.
- Escrow funds are released to you after the buyer confirms delivery, or automatically after 48 hours if the buyer does not confirm and no dispute is raised.
- If a buyer raises a dispute, escrow funds are frozen until the dispute is resolved by YANGGAH.
- YANGGAH charges a platform commission on each completed sale. The applicable rate is communicated to you during the vendor onboarding process and may be updated with reasonable notice.
- Payouts are processed to your registered bank account or payment method after deduction of applicable fees.
- YANGGAH is not responsible for any bank charges or exchange rate differences applied by your financial institution.
7. Returns and Disputes
Buyers may raise a dispute within 48 hours of confirmed delivery if an item is not as described, damaged, or not received. During a dispute:
- You are expected to respond promptly and provide evidence (photos, tracking information, communication records).
- YANGGAH will mediate and make a final determination, which may include a full or partial refund to the buyer or release of funds to you.
- YANGGAH's dispute resolution decision is final.
You are encouraged to resolve disputes amicably with buyers through the platform messaging system before escalation.
8. Intellectual Property
By uploading product images, descriptions, or other content to YANGGAH you grant us a non-exclusive, royalty-free, worldwide licence to display, reproduce, and use that content solely for the purpose of operating and promoting the Platform. You retain ownership of all content you submit. You represent and warrant that you own or have the right to use all content you upload and that it does not infringe any third-party rights.
9. Conduct and Platform Integrity
You agree not to:
- Manipulate search rankings, reviews, or any Platform features through fraudulent means.
- Solicit buyers to transact outside the Platform to circumvent fees or Platform protections.
- Harass, threaten, or act in bad faith towards buyers, other vendors, or YANGGAH staff.
- Use the Platform for any unlawful purpose.
10. Suspension and Termination
YANGGAH may suspend or terminate your vendor account with or without notice if you breach these Vendor Terms, engage in fraudulent activity, or if continued operation poses a risk to buyers or the Platform. Upon termination, any outstanding escrow funds will be handled in accordance with the resolution of any open orders and disputes.
You may close your vendor account at any time by contacting us, provided all active orders are fulfilled and no unresolved disputes remain.
11. Limitation of Liability
YANGGAH acts as a marketplace facilitator and is not a party to the transaction between you and the buyer. We are not liable for any loss of profit, loss of business, or any indirect or consequential loss arising from your use of the Platform. Our aggregate liability to you in connection with any claim shall not exceed the total fees paid by you to YANGGAH in the three months preceding the claim.
12. Governing Law
These Vendor Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
13. Changes to These Terms
YANGGAH reserves the right to update these Vendor Terms at any time. We will notify active vendors of material changes via email or a notice on the Platform. Continued use of the Platform after notice of changes constitutes your acceptance of the revised terms.
